The petitions were filed by two individual investors who argued that the company had not made enough disclosures in its IPO documents.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\" style=\"text-align:center\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">A division bench of Justice R.I. Chagla and Justice Farhan A. Dubash rejected<\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong> both<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> petitions.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Investor Hemant Kulshreshtha&rsquo;s petition<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> was dismissed <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>without any costs<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">.<\/span><\/span><br \/>\n \n <span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Investor Vinay Bansal&rsquo;s petition<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> was dismissed with a <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>\u00e2\u201a\u00b91 lakh cost<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">, which he must pay to the Maharashtra State Legal Services Authority within <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>two weeks.<\/strong><\/span><\/span><br \/>\n \n <span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">WeWork India&rsquo;s shares have already been listed on Indian stock exchanges since <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>October 10<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Background:<\/strong><\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">The petitions filed by retail investors Vinay Bansal and Hemant Kulshreshtha claimed that WeWork India&rsquo;s IPO documents left out important information. They also argued that SEBI did <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>not<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> act on a detailed complaint they had submitted on August 25, 2025.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">Bansal pointed out that SEBI had initially paused the IPO for over three months, but later allowed it to proceed without addressing concerns about the company&rsquo;s finances, operations, and legal issues involving its promoters. According to the offer documents, WeWork India had a <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>negative net worth of \u00e2\u201a\u00b9437 crore as of March 2024<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">, and had reported <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>losses of \u00e2\u201a\u00b91,357 million in FY24<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">, <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>\u00e2\u201a\u00b921,468 million in FY23<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">, and <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>\u00e2\u201a\u00b96,429 million in FY22<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">The IPO was purely an <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Offer for Sale (OFS)<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> of more than <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>4.3 crore shares<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">, meaning the company itself did not receive any fresh funds. As stated in the offer document, &ldquo;our company will not receive any proceeds from the Offer.&rdquo; Instead, the OFS allowed promoter <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Embassy Buildcon LLP<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> to sell part of its stake without creating any new assets or business opportunities for the company.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">The petition argued that WeWork India uses the &ldquo;WeWork&rdquo; brand under a licence that remains valid only as long as the company&rsquo;s promoters keep their voting and management control. It claimed that WeWork India&rsquo;s entire business identity depends on this brand name and said investors should be clearly warned about the risks if the licence is ever revoked.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">The petition also pointed to three pending cases involving the promoters that, it claimed, were not fully disclosed in the original Draft Red Herring Prospectus (DRHP) filed in January 2025. These cases include:<\/span><\/span><\/p>\n \n \n \n <ul>\n \n <li dir=\"ltr\" style=\"list-style-type:disc\">\n \n <p dir=\"ltr\"><span style=\"font-size:14pt\">a <\/span><span style=\"font-size:14pt\"><strong>2014 CBI chargesheet<\/strong><\/span><span style=\"font-size:14pt\"> for alleged corruption and conspiracy,<\/span><\/p>\n \n <\/li>\n \n <li dir=\"ltr\" style=\"list-style-type:disc\">\n \n <p dir=\"ltr\"><span style=\"font-size:14pt\">an <\/span><span style=\"font-size:14pt\"><strong>Enforcement Directorate complaint<\/strong><\/span><span style=\"font-size:14pt\"> under the Prevention of Money Laundering Act, and<\/span><\/p>\n \n <\/li>\n \n <li dir=\"ltr\" style=\"list-style-type:disc\">\n \n <p dir=\"ltr\"><span style=\"font-size:14pt\">an <\/span><span style=\"font-size:14pt\"><strong>Economic Offences Wing chargesheet dated November 7, 2024<\/strong><\/span><span style=\"font-size:14pt\">.<\/span><\/p>\n \n <\/li>\n \n <\/ul>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">According to the petitioners, these cases were missing from the January 2025 DRHP and were added only later through an addendum issued in August 2025.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">SEBI&rsquo;s counsel said the petitioners had changed their argument&mdash;from non-disclosure of prosecutions to chargesheets&mdash;and insisted SEBI followed the rules. He said, <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>&ldquo;To suggest that we have not provided reasons is completely untenable,&rdquo;<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> explaining that SEBI had asked the company to clearly disclose the ED case as a risk, which led to changes in the RHP.<\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">Counsel for Kulshreshtha said companies must disclose any prosecution, saying, <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>&ldquo;The requirement is that the issuer has to disclose the prosecution launched against him,&rdquo;<\/strong><\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"> and warned that not sharing such information could harm investors. Another counsel said the company had disclosed a &ldquo;lesser offence but not a higher offence,&rdquo; and defended the right to raise the issue: <\/span><\/span><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>&ldquo;I have a right under the regulations to expect the regulator to act in accordance with law.&rdquo;<\/strong><\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\"><strong>Court&rsquo;s Query:<\/strong><\/span><\/span><\/p>\n \n \n \n <p dir=\"ltr\"><span style=\"font-size:14pt\"><span style=\"font-family:Georgia,serif\">Since the IPO had already closed, the bench asked what interim relief was still possible.
